These Terms of Service ("Terms") govern your access to and use of the websites, software, services, tutorial content, integrations, applications, and related services provided by Up Level Suite LLC, including the services offered under the names UpLevel Suite and UpLevel Academy (collectively, the "Service," "UpLevel," "we," "us," or "our").
Please read these Terms carefully. By creating an account, purchasing a subscription, installing or activating the Service, accessing tutorial content, or otherwise using the Service, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "Subscriber" refer to that entity.
If you do not agree to these Terms, do not access, install, or use the Service.
1. The UpLevel Service
UpLevel provides software, educational content, and related tools designed primarily for agencies and businesses using the HighLevel platform.
Depending on the features available under your subscription, the Service may include:
- unbranded or grey-labeled HighLevel tutorial videos;
- contextual help icons and tutorial links displayed within supported HighLevel interfaces;
- software or code used to place tutorial assistance within HighLevel agency accounts or sub-accounts;
- an UpLevel account dashboard;
- tutorial configuration and management tools;
- agency-specific tutorial configurations;
- video hosting or connections to third-party video hosting services;
- analytics and usage information;
- subscription management;
- authentication and account verification;
- agency or sub-account integrations;
- support services;
- Marketplace applications or integrations, if and when offered; and
- additional features that UpLevel may introduce from time to time.
UpLevel may modify, improve, replace, add, or discontinue features of the Service as the product evolves.
2. Relationship With HighLevel
UpLevel is an independent third-party product.
Unless expressly stated otherwise in writing, UpLevel Suite LLC is not HighLevel, is not owned by HighLevel, and does not represent that HighLevel sponsors, endorses, operates, or guarantees the Service.
References to “HighLevel” are used solely to identify the third-party platform with which the Service is designed to work.
HighLevel controls its own software, interfaces, APIs, Marketplace, authentication systems, policies, pricing, functionality, and availability. UpLevel does not control changes made by HighLevel.
HighLevel may modify page structures, URLs, interface elements, CSS classes, APIs, authentication requirements, Marketplace requirements, or other functionality at any time. Those changes may temporarily or permanently affect an UpLevel tutorial, help icon, integration, placement, or other feature.
UpLevel will use commercially reasonable efforts to maintain compatibility with supported portions of HighLevel, but we do not guarantee uninterrupted or permanent compatibility with any particular HighLevel interface, feature, page, API, or account type.
Your use of HighLevel remains subject to your separate agreement with HighLevel.
3. Eligibility and Business Use
The Service is intended primarily for businesses, agencies, professionals, and their authorized users.
You must be at least 18 years old and legally capable of entering into a binding agreement to create a paid UpLevel account.
You may not use the Service if applicable law prohibits you from doing so.
4. Subscriber Accounts
Certain portions of the Service require an account.
You agree to provide accurate, current, and complete information and to keep that information reasonably current.
Account information may include your:
- name;
- email address;
- telephone number;
- company or agency name;
- company address;
- HighLevel agency information;
- agency or account identifiers;
- HighLevel Agency Relationship Number;
- subscription information; and
- other information reasonably required to provide or secure the Service.
You are responsible for maintaining the confidentiality and security of your account credentials.
You are responsible for activity occurring through your account and for ensuring that users you authorize comply with these Terms.
You must notify us promptly if you reasonably believe your account or credentials have been compromised.
5. Agency Authority
By installing, configuring, connecting, or activating UpLevel within a HighLevel agency account or sub-account, you represent and warrant that you have sufficient authorization to do so.
This means you must own, manage, control, or otherwise have permission to install or activate the Service in each applicable account or sub-account.
You may not install UpLevel in an account that you are not authorized to administer or modify.
You are responsible for obtaining any permissions or approvals required from your customers, clients, account owners, users, or other parties before installing or enabling UpLevel within their environment.
6. Authorized Sub-Accounts
A paid UpLevel subscription may permit use across an unlimited number of HighLevel sub-accounts, as described on the applicable pricing or subscription page.
"Unlimited sub-accounts" means sub-accounts legitimately owned, operated, administered, or managed by the subscribing agency.
It does not permit:
- sharing one subscription among unrelated agencies;
- reselling UpLevel access to unrelated agencies;
- allowing third parties to use your subscription as their own subscription;
- using your account to circumvent UpLevel's subscription model; or
- distributing UpLevel's software or content outside your authorized agency environment.
UpLevel may investigate unusually broad or abnormal use when reasonably necessary to protect the Service from unauthorized sharing or abuse.
7. Installation and Integration
Depending on the version of the Service, UpLevel may be installed, activated, or connected through methods including:
- custom JavaScript or CSS;
- code supplied by UpLevel;
- account authentication;
- an UpLevel application;
- a HighLevel Marketplace application;
- API or OAuth integrations;
- account identifiers;
- agency-level configuration; or
- other integration methods supported by UpLevel.
Installation methods may change as HighLevel and UpLevel evolve.
You agree to follow the installation instructions provided by UpLevel and not intentionally modify, interfere with, circumvent, or reverse engineer the UpLevel integration except where applicable law expressly permits such activity.
8. Account Identifiers and Authentication
UpLevel may use agency identifiers, account identifiers, subscription information, authentication credentials, tokens, or other technical information to determine whether an agency or account is authorized to use the Service.
An Agency Relationship Number or similar account identifier may be used to associate an agency with an UpLevel account. An identifier alone should not be understood as a password or confidential authentication credential unless UpLevel expressly identifies it as such.
UpLevel may introduce or change authentication methods to improve security or support new integrations.
You agree not to falsify, manipulate, copy, share, or misuse authentication information for the purpose of obtaining unauthorized access.
9. Subscription and Fees
Unless otherwise stated in an applicable order or written agreement, UpLevel Academy is offered as a recurring monthly subscription.
The current standard subscription price is $67 per month, unless a different price, promotional offer, grandfathered rate, or separately negotiated price applies to your account.
Applicable taxes may be added where required.
Your subscription begins when your purchase is completed or on another date clearly communicated during enrollment.
10. Automatic Renewal
Your subscription automatically renews at the end of each monthly billing period until canceled.
By purchasing a subscription, you authorize UpLevel and its payment processor to charge the applicable recurring subscription fee and applicable taxes to your selected payment method at each renewal.
UpLevel may use a third-party payment processor to process payments.
You are responsible for maintaining a valid payment method.
11. Failed Payments
If a payment cannot be completed, we or our payment processor may attempt to process the payment again.
We may restrict, suspend, or disable access to some or all of the Service if your subscription becomes past due.
This may include disabling UpLevel tutorial functionality within connected HighLevel accounts or sub-accounts.
You remain responsible for amounts properly incurred before cancellation or termination.
12. Price Changes
UpLevel may change subscription pricing from time to time.
If a price change affects an existing recurring subscription, we will provide reasonable notice before the new price becomes applicable to a future renewal.
Continuing the subscription after the new price becomes effective constitutes acceptance of the new subscription price.
You may cancel before the affected renewal if you do not wish to continue at the new price.
13. Cancellation
You may cancel your subscription at any time using the cancellation functionality provided through your account or another cancellation method we make available.
Cancellation prevents future subscription renewals.
Unless otherwise stated at the time of cancellation, your paid access will continue through the end of your current paid billing period.
After that period ends, UpLevel may deactivate your account and disable access to subscriber-only functionality and tutorial content.
Because UpLevel functionality may operate inside connected HighLevel accounts, cancellation or expiration may cause tutorial icons, videos, authentication, configuration data, or other UpLevel functionality to stop working in those accounts.
14. Refunds
Except where required by applicable law, expressly stated in an applicable offer, or otherwise agreed by UpLevel in writing, subscription fees are non-refundable once charged.
Canceling a subscription ordinarily stops future renewals rather than generating a refund for the current billing period.
Nothing in this section limits any non-waivable rights you may have under applicable law.
15. License to Use the Service
Subject to your continued compliance with these Terms and payment of applicable fees, UpLevel grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your active subscription to access and use the Service for your authorized business purposes.
This license includes the right to make UpLevel tutorial content available to authorized users of HighLevel sub-accounts that you legitimately own, operate, administer, or manage.
The tutorials are intentionally designed to be unbranded or grey-labeled so that subscribing agencies may use them as part of their own customer education and support experience.
This permission to display the tutorials to your clients does not transfer ownership of the tutorials or permit unrestricted redistribution.
16. Content Restrictions
Unless UpLevel expressly authorizes otherwise in writing, you may not:
- sell or resell UpLevel tutorial videos as standalone content;
- distribute UpLevel videos to unrelated agencies;
- download or extract videos when no download functionality is provided;
- reproduce or create unauthorized copies of the tutorial library;
- rehost UpLevel videos on another service;
- publicly distribute subscriber-only tutorials;
- sublicense UpLevel's content;
- scrape or systematically extract UpLevel content or data;
- screen-record or otherwise reproduce substantial portions of the tutorial library for redistribution;
- remove proprietary notices embedded in the Service;
- circumvent subscription, authentication, or access controls;
- use another subscriber's credentials or authorization;
- use the Service to create a competing tutorial library through systematic copying; or
- enable unauthorized third parties to access subscriber-only content.
These restrictions do not prevent ordinary authorized end users from viewing tutorials as intended through an active subscribing agency.
17. UpLevel Intellectual Property
UpLevel and its licensors retain all right, title, and interest in and to the Service, including:
- tutorial videos;
- scripts;
- software;
- source code;
- object code;
- designs;
- user interfaces;
- databases;
- text;
- graphics;
- documentation;
- training materials;
- workflows;
- placement systems;
- analytics systems;
- trademarks;
- logos; and
- other proprietary materials.
Except for the limited license expressly granted under these Terms, no intellectual property rights are transferred to you.
"Unbranded" does not mean "public domain," "royalty-free for any purpose," or "owned by the Subscriber." It means the content is designed to be presented without UpLevel branding or with limited branding in the authorized context.
18. Agency Content
UpLevel may permit Subscribers to add descriptions, configurations, placements, videos, files, text, or other materials to the Service ("Agency Content").
You retain ownership of Agency Content that you own.
You grant UpLevel a non-exclusive, worldwide license to host, process, reproduce, transmit, display, and otherwise use Agency Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Service.
This license lasts for as long as necessary to provide the Service and fulfill legitimate legal, security, backup, and operational obligations.
You represent that you have the rights necessary to provide Agency Content to UpLevel and to authorize its use as contemplated by the Service.
19. Feedback
If you provide suggestions, feature requests, ideas, recommendations, or other feedback about UpLevel, you grant UpLevel the right to use that feedback without restriction or compensation to you.
This does not transfer ownership of your confidential business information or Agency Content.
20. Acceptable Use
You may not use the Service to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- distribute malware or malicious code;
- gain unauthorized access to systems or accounts;
- interfere with the operation or security of UpLevel or HighLevel;
- impersonate another person or organization;
- misrepresent your authorization to access an account;
- circumvent technical restrictions or subscription controls;
- perform automated scraping or extraction that materially burdens the Service;
- probe or test vulnerabilities without written authorization;
- use UpLevel to facilitate fraud, deception, harassment, or unlawful activity; or
- use the Service in a manner reasonably likely to damage UpLevel, HighLevel, another Subscriber, or another person's systems or data.
21. End Users and Your Clients
Your clients, employees, contractors, and other authorized users may interact with UpLevel tutorials through HighLevel accounts or sub-accounts that you manage.
You are responsible for your relationship with those users, including your own privacy notices, contractual obligations, permissions, and legal compliance.
You may not make promises, warranties, or representations on behalf of UpLevel unless UpLevel has expressly authorized them in writing.
22. Privacy and Data
Our collection and use of personal information is described in the UpLevel Suite Privacy Policy.
Depending on the context, UpLevel may process certain information for its own account administration, security, billing, and operational purposes and may process other information on behalf of a subscribing agency in connection with the agency's use of the Service.
Where required or appropriate, additional data-processing terms may apply.
Subscribers are responsible for providing any notices and obtaining any permissions or consents required for their own use of the Service.
23. Third-Party Services
The Service may depend on or interact with third-party services such as:
- HighLevel;
- payment processors;
- hosting and cloud infrastructure providers;
- content delivery networks;
- email providers;
- analytics providers;
- YouTube;
- Vimeo;
- Loom; and
- other video, infrastructure, authentication, or integration providers.
Third-party services are governed by their own terms and privacy practices.
UpLevel is not responsible for outages, changes, acts, omissions, policies, or security incidents attributable solely to a third-party service outside UpLevel's reasonable control.
24. Tutorial Accuracy
UpLevel tutorials are educational materials intended to assist users in understanding supported software functionality.
Software interfaces and features change frequently.
A tutorial may temporarily show an earlier interface, workflow, feature name, menu structure, or process after HighLevel or another third party makes an update.
UpLevel may update, replace, remove, or revise tutorials as appropriate, but does not warrant that every tutorial will reflect every platform change immediately.
Tutorials are provided for educational purposes and should not be interpreted as legal, tax, accounting, financial, cybersecurity, or other regulated professional advice.
25. Service Availability
We work to provide a reliable Service, but we do not guarantee that the Service will always be uninterrupted, error-free, or available.
Availability may be affected by:
- maintenance;
- software updates;
- HighLevel changes;
- third-party outages;
- internet or hosting failures;
- security incidents;
- changes to APIs;
- authentication failures;
- browser changes;
- events beyond our reasonable control; or
- other technical conditions.
UpLevel may perform maintenance or make changes to the Service without prior notice when reasonably necessary.
26. Beta and Experimental Features
UpLevel may make beta, preview, experimental, or early-access features available.
Such features may be changed or discontinued at any time and may contain errors or incomplete functionality.
Unless otherwise expressly agreed, beta or experimental features are provided "as is."
27. Support
UpLevel may provide support through support tickets, email, documentation, tutorials, or other channels identified within the Service.
Support availability and response times may vary.
Unless expressly included in a separate written agreement, purchasing a standard subscription does not create a guaranteed response time, service-level agreement, or 24-hour support obligation.
28. Security
UpLevel may use administrative, technical, and organizational safeguards designed to protect the Service and information under our control.
No internet-connected system can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security for your own systems, devices, HighLevel accounts, credentials, employees, contractors, and configurations.
You must not attempt to defeat UpLevel security controls.
29. Suspension
UpLevel may suspend or restrict access to the Service when we reasonably believe:
- payment is past due;
- an account has been compromised;
- the Service is being used unlawfully;
- these Terms have been materially violated;
- unauthorized sharing or redistribution is occurring;
- continued access creates a material security risk;
- suspension is required by law; or
- immediate action is reasonably necessary to protect UpLevel, its customers, HighLevel, or third parties.
Where reasonably appropriate, we will attempt to provide notice and an opportunity to resolve the issue.
30. Termination
You may terminate these Terms by canceling your subscription and ceasing use of the Service.
UpLevel may terminate an account or these Terms for material breach, unlawful use, repeated nonpayment, abuse of the Service, serious security threats, or other circumstances permitting termination under these Terms.
Upon termination or expiration:
- your license to use the Service ends;
- subscriber-only content may become inaccessible;
- authentication may be revoked;
- integrations may cease functioning;
- tutorial icons or videos may stop appearing within connected accounts; and
- certain data may be deleted or retained in accordance with our Privacy Policy and legal obligations.
Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.
31. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
UPLEVEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
UPLEVEL DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
- EVERY HIGHLEVEL INTERFACE WILL ALWAYS REMAIN COMPATIBLE;
- EVERY TUTORIAL WILL IMMEDIATELY REFLECT EVERY THIRD-PARTY SOFTWARE CHANGE;
- THE SERVICE WILL MEET EVERY SUBSCRIBER'S PARTICULAR BUSINESS REQUIREMENTS; OR
- ALL DEFECTS OR INTERRUPTIONS CAN OR WILL BE CORRECTED.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
32. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPLEVEL SUITE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPLEVEL'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO UPLEVEL DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability and even if UpLevel has been advised that damages are possible.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
33. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Up Level Suite LLC and its owners, officers, employees, contractors, affiliates, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from or relating to:
- your unlawful use of the Service;
- your material violation of these Terms;
- your Agency Content;
- your infringement or violation of a third party's rights;
- your installation of the Service without appropriate authorization;
- your misuse of HighLevel accounts or sub-accounts; or
- your failure to obtain permissions or consents for which you are legally responsible.
UpLevel will provide reasonable notice of covered claims and reasonably cooperate in the defense.
34. Confidential Information
During use of the Service, either party may receive non-public information that a reasonable person would understand to be confidential.
Each party agrees to use reasonable measures to protect the other party's confidential information and use it only for purposes related to the relationship.
Confidential information does not include information that is publicly available through no breach, independently developed without use of confidential information, or lawfully received from a third party without confidentiality obligations.
Disclosure may be made where required by law, subject to legally permitted notice where appropriate.
35. Electronic Communications
By creating an account or using the Service, you consent to receive transactional and administrative communications electronically, including notices concerning:
- your account;
- billing;
- subscription renewals;
- security;
- service changes;
- legal terms;
- support; and
- other operational matters.
Marketing communications will be handled according to applicable law and available communication preferences.
36. Changes to the Service
UpLevel is an evolving product.
We may modify the design, functionality, content library, integrations, installation methods, authentication systems, supported platforms, or other aspects of the Service.
We may discontinue features that are no longer commercially, technically, legally, or operationally practical.
If a change materially reduces the core functionality of a paid Service during an existing billing period, we will take commercially reasonable steps to address the effect on affected Subscribers.
37. Changes to These Terms
We may update these Terms from time to time.
The "Last Updated" date will identify the latest version.
If we make a material change, we may provide additional notice through the Service, by email, or by another reasonable method.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
If you do not agree with a material revision, you may discontinue use and cancel your subscription.
38. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute that is not subject to another enforceable dispute-resolution agreement between you and UpLevel will be brought in a court of competent jurisdiction as permitted by applicable law.
39. Force Majeure
UpLevel will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, internet failures, hosting outages, acts of government, labor disputes, war, terrorism, civil disturbances, widespread cybersecurity events, utility failures, or failures of critical third-party platforms.
40. Assignment
You may not assign these Terms or transfer your subscription to another unrelated party without UpLevel's written consent.
UpLevel may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the business or Service.
41. Severability
If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
42. Waiver
Failure by either party to enforce a provision of these Terms does not waive the right to enforce that provision later.
43. Entire Agreement
These Terms, the Privacy Policy, any applicable order or subscription terms, and any additional written terms expressly incorporated into them constitute the agreement between you and UpLevel concerning the Service.
If you enter into a separately executed written agreement with UpLevel that expressly conflicts with these Terms, the separately executed agreement controls to the extent of that conflict.
44. Future Marketplace and Creator Features
UpLevel may introduce community, marketplace, creator, agency-uploaded content, paid content, revenue-sharing, or similar features in the future.
Participation in those features may require acceptance of additional terms, including creator, marketplace, payment, intellectual-property, moderation, or revenue-sharing terms.
These Terms do not by themselves grant a right to sell content through UpLevel or require UpLevel to operate a creator marketplace.
